Description
of Service
SCOUTD is a digital platform designed to connect professional models and modeling agencies through a swipe-based discovery interface. The platform facilitates introductions and professional connections — it does not act as an employment agency, talent agent, or guarantor of any professional relationship formed through its use.
SCOUTD provides the following core features:
- Profile creation — Models and agencies create verified professional profiles with photos, portfolios, and relevant details.
- Discovery & matching — Users browse profiles and express mutual interest through a swipe mechanic. A match unlocks direct communication.
- In-app messaging — Matched users may communicate through SCOUTD's integrated messaging system.
- Analytics & tools — Agency accounts have access to advanced search filters, casting boards, and usage analytics.
SCOUTD does not guarantee employment, bookings, contracts, or any specific outcome from connections made on the platform. All professional arrangements are solely between the parties involved.

Eligibility
& Registration
To use SCOUTD, you must meet the following requirements at the time of registration and throughout your use of the platform:
- Age — You must be at least 18 years of age. SCOUTD is not available to minors under any circumstances.
- Accurate information — All information you provide during registration and in your profile must be truthful, accurate, and current. Misrepresentation of your identity, credentials, or professional status is grounds for immediate account termination.
- Legal capacity — You must have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.
- One account per person or entity — Each individual or agency may maintain only one active account on the platform.
- Compliance — You must agree to and abide by these Terms of Use and our Privacy Policy at all times.
By creating an account, you represent and warrant that all information you provide is accurate, that you are at least 18 years old, and that you have the legal authority to agree to these terms on behalf of yourself or the entity you represent.

Prohibited
Conduct
SCOUTD is a professional platform. The following conduct is strictly prohibited and may result in immediate account suspension or permanent termination without notice:
- False or misleading profiles — Creating a profile under a false identity, impersonating another person or agency, or misrepresenting your professional qualifications.
- Harassment and abuse — Sending unsolicited, threatening, or demeaning messages; engaging in any form of sexual harassment, discrimination, or intimidation.
- Inappropriate content — Uploading or sharing content that is explicit, violent, defamatory, or in violation of any applicable law, including content that sexualizes individuals without clear professional context.
- Spam and solicitation — Sending bulk, automated, or unsolicited messages; promoting third-party products, services, or platforms without authorization.
- Fraudulent activity — Attempting to deceive users into financial transactions, collecting personal data under false pretenses, or engaging in any form of fraud or scam.
- Circumventing the platform — Attempting to move professional communications entirely outside SCOUTD before a legitimate match is formed, in order to avoid platform policies.
- Technical interference — Attempting to access, scrape, reverse-engineer, or interfere with SCOUTD's systems, code, or databases in any unauthorized manner.
- Minors — Sharing, requesting, or distributing content involving individuals under 18 years of age in any form.
SCOUTD reserves the right to investigate reports of prohibited conduct and to take appropriate action, including content removal, account suspension, and referral to law enforcement where required.

Intellectual
Property
SCOUTD respects the creative and professional work of every user on the platform. The following principles govern intellectual property rights:
- Your content, your rights — All photos, videos, and portfolio materials you upload to SCOUTD remain your sole property. You retain full copyright over your content at all times.
- License to SCOUTD — By uploading content to your profile, you grant SCOUTD a limited, non-exclusive, royalty-free license to display, reproduce, and distribute that content solely within the platform for the purpose of operating the matching service. This license ends when you delete the content or your account.
- SCOUTD's property — The SCOUTD name, logo, interface design, matching algorithm, and all platform code are the exclusive intellectual property of SCOUTD Technologies. You may not reproduce, copy, or use any of these elements without prior written authorization.
- No transfer — Nothing in these terms transfers ownership of any intellectual property from you to SCOUTD, or from SCOUTD to you.
Your photographs and portfolio materials are yours. SCOUTD never claims ownership over content you create. Our license to display your work exists only to make the platform function and ends the moment you remove your content.

Limitation
of Liability
SCOUTD provides its platform on an "as is" and "as available" basis. To the maximum extent permitted by applicable law:
- No guarantees — SCOUTD does not guarantee the accuracy, completeness, or reliability of any user profile, nor the outcome of any connection made through the platform.
- No employment relationship — SCOUTD is not a party to any professional agreement between a model and an agency. We are not responsible for the terms, performance, or outcome of any booking or contract.
- Platform availability — SCOUTD is not liable for interruptions in service, data loss, or technical failures, whether arising from scheduled maintenance or unforeseen circumstances.
- Third-party conduct — SCOUTD is not responsible for the actions, content, or conduct of other users. You use the platform and interact with other users at your own risk.
- Cap on damages — In no event shall SCOUTD's total liability to you for any claim arising out of or related to these terms or the platform exceed the amount you paid to SCOUTD in the 12 months preceding the claim, or $100 CAD, whichever is greater.
Nothing in this section limits SCOUTD's liability for fraud, gross negligence, or any matter that cannot be limited under applicable Quebec or Canadian law.

Account
Termination
Either party may terminate the account relationship at any time.
- Termination by you — You may delete your account at any time through your account settings. Upon deletion, your profile is removed immediately from public view and your data is purged within 30 days in accordance with our Privacy Policy.
- Termination by SCOUTD — SCOUTD may suspend or permanently terminate your account, with or without notice, if you violate these Terms of Use, engage in prohibited conduct, or if we determine that your presence on the platform poses a risk to other users or the integrity of the service.
- Effect of termination — Upon termination, your license to use the platform ends immediately. Provisions of these terms that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.
- No refunds upon termination for cause — If your account is terminated due to a violation of these terms, any subscription fees paid are non-refundable.

Changes to
These Terms
SCOUTD reserves the right to update or modify these Terms of Use at any time. When we make material changes, we will notify you by email and display a prominent notice within the platform at least 30 days before the new terms take effect.
Your continued use of SCOUTD after the effective date of any changes constitutes your acceptance of the revised terms. If you disagree with the updated terms, you must stop using the platform and delete your account before the changes take effect.

Jurisdiction
& Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the Province of Québec and the applicable federal laws of Canada, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these terms or your use of SCOUTD — including questions about their existence, validity, interpretation, breach, or termination — shall be subject to the exclusive jurisdiction of the courts located in Québec, Canada.
By using SCOUTD, you irrevocably submit to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction over you by such courts.
These terms are governed by Quebec law. All disputes are to be resolved in Quebec courts. If a provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
